Sale of Apartment Buildings – Specific Performance

The firm recently was successful in its representation of a client in litigation related to the purchase of a number of apartment buildings. After our client's Offer to Purchase the apartment buildings for more than $6 million was accepted by the seller, but before the parties had signed a Purchase and Sale Agreement, the seller attempted to back out of the transaction.

After making a number of unsuccessful demands that the seller complete the sale, we filed suit seeking specific performance to compel the sale of the properties, and also sought a preliminary injunction prohibiting the seller from selling or transferring the properties to any other person or entity. After being served with notice of the hearing on the motion for a preliminary injunction, the seller capitulated and agreed to complete the sale to our client.
